In consideration of the use of the premises named above, and the conditions set forth, the parties mutually agree as follows:

1. The Licensee (members, guests) shall have access ONLY to the Wells Fargo Sports Complex Area listed above. Anyone (including member, guest) who enters an area other than the one designated above may be ejected from the Wells Fargo Sports Complex. Should such a condition occur the Licensee will be charged the fee for use of this additional area/or the Licensor may treat the occurrence as a breach of this licensee agreement.

2. Licensee will comply with all reasonable rules and regulations established by the University. The University shall always have the right to eject any person from the facility for any reason in the sole and absolute discretion of the UAA Recreational Sports personnel.

3. The University shall have the right, on reasonable written notice to Licensee, to pre-empt use of the facility for any reason determined by Licensor of major importance to the Licensor on the condition that the Licensor either a) reschedules the Event(s) canceled at a mutually agreeable time and date, or b) in the Licensor's discretion, refunds or credits fee to Licensee. Licensor's liability under this section shall be limited to refund or credit of the fee.

4. Licensee shall not deny participation in or admission to, any Event of theirs, nor membership or participation in Licensee's group, because of race, creed, color, national origin, sex, or religion.

5. The Licensee, its members and guests, shall comply with University rules and regulations for use of the facility. Any breach of these rules and regulations by the Licensee, its members, or guests shall be considered a material breach of this agreement. Licensor may then cancel this agreement at its discretion and retain as damages any fees paid.

6. Reservations for facility use must be canceled at least one week, (7 days) in advance or full payment will be charged for rental. Licensee further agrees that should they fail to make any of the payments listed above, they will pay all collections costs associated with the collections of this debt.

7. The Licensor may, at its sole discretion, require insurance coverage by the Licensee. If required, the Licensee shall, without limiting its indemnification, and prior to making use of the facility, it is agreed that the Licensee shall purchase at its own expense, and maintain in force at all times during the term of this Agreement, commercial general liability insurance for limits not less than $1,000,000 per occurrence. The Licensee is required to provide CGL insurance on ISO occurrence form CG 00 01 07 98 (or an equivalent form) not excluding premises, operations, independent contractors, personal/advertising injury, products completed operations, liability assumed under an insured contract (including defense costs assumed under contract), and broad form property damage. UA shall be included as an additional insured under the CGL. This insurance shall apply as primary insurance with respect to any other insurance or self-insurance programs afforded to UA. There shall be no endorsement or modifications of the CGL to make it excess over other available insurance; alternatively, if the CGL states that it is excess or pro rata, the policy shall be endorsed to be primary with respect to the additional insured.

Failure to furnish satisfactory evidence of insurance, lapse of a policy, or inadequate limits, is grounds for termination of this Agreement. All insurance should be issued by companies admitted to do business in the State of Alaska and have a rating of A-, Class VII or better in the most recently published edition of Best's Reports. Two weeks prior to the event, Licensee will furnish UA with a Certificate of Insurance with required endorsements attached thereto showing the type, amount, effective dates, and dates of expiration of all policies. All insurance limits are minimum. If the Licensee's policies contain higher limits, the UA shall be entitled to coverage to the extent of such higher limits.

8. Licensee assumes all responsibility, risk and liability for all activities or licensee, its employees, agents, invitees, contractors, subcontractors, directly or indirectly conducted in connection with this Agreement, including environmental and hazardous substance risks and liabilities, whether occurring during or after the term of this Agreement. Licensee shall defend, indemnify, and hold harmless the University of Alaska, its employees, and agents from and against any and all suits, claims actions, losses, costs, penalties, and damages of whatever kind or nature, including all attorney's fees and litigation costs, arising out of, in connection with, or incident to any act or omission by Licensee, its employees, agents invitee, contractors, subcontractors, or licensees, unless the sole proximate cause of the injury or damage is the negligence or willful misconduct of the University of Alaska or anyone acting on the University of Alaska's behalf. Within 15 days, Licensee shall accept any such cause or action proceeding upon tender by the University of Alaska. This indemnification shall survive the termination of the Agreement.

I (we) further state that I (we) have authority to act in behalf of the above named organization.
